Smyle Ambassador Program Terms and Conditions

These Terms and Conditions were last updated on and are effective as of September 9, 2025

1. Introduction & Scope

 

These terms and conditions (“Terms”) govern your participation in the Smyle Influencer & Ambassador Program (the “Program”), offered by Smyle B.V. (“Smyle”, “we”, “our”). By participating, you agree to these Terms. Participation is only permitted for individuals aged 18 or older.

2. Participation and Termination

Smyle reserves the right to approve or deny participation. We may terminate your participation at any time in case of violation of these Terms. Upon termination, any outstanding rewards are forfeited. Smyle may update these Terms at any time. Continued participation implies acceptance of the latest version.

3. Unique Promo Code & Rewards

Once accepted, you will receive a unique Smyle promotion link and/or code. You’ll receive:

  • Standard commission: 10% of the net revenue generated through your unique code or link.

  • Bonus commission: e.g., €50 when your content is used as a top-performing ad.

Additional rewards may apply depending on your performance or ambassador level.

Commissions are calculated on net revenue, excluding shipping costs, VAT, discounts, or refunds

 

4. Permitted Use

Your code or link may only be shared on your own social media, blog, email campaigns, or other channels approved by Smyle. You must clearly disclose that the post is part of a paid collaboration, in line with Dutch Advertising Code.

5. Prohibited Use

 

The following is not allowed:

  • Posting your link or code on discount platforms or third-party forums without permission.

  • Using spam, bots, scraping tools, or any automated method to distribute your code.

  • Allowing others to use your code or share it on your behalf.

 

Any misuse may result in immediate removal from the Program and forfeiture of any accrued commissions.

 

6. Warranties & Responsibilities


You confirm that:

  • You are at least 18 years old.

  • Your content does not infringe on third-party rights (e.g., copyrights, image rights).

  • You comply with all relevant laws and advertising regulations.

 


 

7. Term & Termination


The agreement is valid from the moment of approval until either party terminates it. Smyle reserves the right to terminate your participation immediately, without prior notice.

 

8. Confidentiality


All confidential information about Smyle, its products, or its customers must be treated as such and may not be shared without prior written consent.

 

9. Liability and Indemnification

You agree to indemnify and hold Smyle harmless from any claims or damages arising from your content or violations of these Terms. Smyle is not liable for indirect damages such as lost revenue or reputation damage.

 

10. Public Communication

Any public communication (press, podcasts, interviews) about the collaboration must be pre-approved in writing by Smyle.

 

11. Negative Statements

You agree not to make misleading, damaging, or negative public comments about Smyle or its products.

12. Final Provisions

 

  • Governing Law: Dutch law applies.

  • Jurisdiction: Disputes will be settled before the competent court in Amsterdam.

  • Entire Agreement: These Terms constitute the full agreement between you and Smyle regarding the Program.
